Terms of Service

1. Who you are contracting with
Capacity Brain is a trading name of PINTERIOR DESIGN SRL, a company incorporated in Romania, company registration number J2026029937004, registered office: Str. Leon Cehovschi, nr. 20A, Sadova, Suceava, 727470, Romania ("Capacity Brain", "we", "us").
By creating an account, subscribing or using the service you agree to these Terms. If you accept them on behalf of a company or other organisation, you confirm you are authorised to bind that organisation. If you are an individual, you confirm you are of legal age in your country.
2. What the service is
Capacity Brain is a cloud-based software-as-a-service application for planning delivery capacity, workload and project economics in project-based professional service businesses. It provides planning tools and decision-support information based on the data you enter and the calculations the system performs.
Capacity Brain does not guarantee:
- revenue, profit or margin outcomes;
- that deadlines or schedules will be met;
- collaborator or team performance;
- sales conversion or commercial success.
Capacity Brain is not accounting software, tax software, payroll software, legal advice or financial investment advice. Financial figures shown in the product are planning and business-management estimates, not invoiced revenue or accounting output.
3. Accounts and workspaces
You must provide accurate registration information and keep it current. You are responsible for keeping your credentials confidential and for all activity carried out under your account. Tell us promptly if you believe an account has been accessed without authorisation.
Where a workspace owner adds or invites other users, the owner remains responsible for those users' use of the workspace and for the roles and permissions granted to them.
4. Subscriptions and pricing
Capacity Brain is a paid subscription service. The launch plans are:
- Founding Member Annual — €490 per year (recommended, pre-selected)
- Founding Member Monthly — €49 per month
Both plans provide the same product functionality. There is no free plan, no free trial and no unrestricted demo account. Access to the paid application begins once a subscription is active.
The contractual base prices are stated in euro. Where Paddle supports localised currency display or billing for your location, checkout may show another currency; the amount and currency actually stored for your subscription are shown at checkout and in your billing confirmation.
5. Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Accordingly, Paddle handles:
- payment processing and payment method storage;
- invoices and receipts where applicable;
- applicable transaction taxes collected at checkout, which may include VAT, GST, sales tax or similar indirect taxes;
- payment-related customer service and refund processing.
We do not store your card details. Payment, billing, tax, cancellation and refund mechanics are also governed by Paddle's Buyer Terms.
6. Founding Member price protection
Founding Member pricing remains protected for as long as the same subscription remains continuously active. A customer who subscribes at €49 per month or €490 per year keeps that Founding Member base price while that subscription stays continuously active.
If the subscription is cancelled and later expires, Founding Member price protection ends. If you subscribe again later, the then-current public price applies unless we explicitly grant a different offer. Founding Member pricing is attached to the continuously active subscription, not permanently to your account.
Where a subscription is billed in a converted local currency, the Founding Member promise applies to the price structure actually stored for that subscription. We cannot promise that a converted amount stays fixed if it is not the stored subscription price.
7. Renewal
Subscriptions renew automatically at the end of each billing period — monthly or annually, according to the plan chosen — until cancelled. Renewal is charged using the payment method held by Paddle.
8. Cancellation
You can cancel future renewal at any time from the Billing page in the application, or through Paddle's buyer support. Where cancellation takes effect at the end of the current billing period, access continues until that paid period ends and no further payment is taken.
Cancellation and refund are different actions: cancelling stops the next payment, it does not by itself return a payment already made.
9. Refunds
Refunds are described in our Refund Policy and are handled through Paddle's refund mechanisms and Paddle's Refund Policy. Nothing in these Terms removes statutory refund or withdrawal rights that apply to you and cannot lawfully be waived.
10. International availability
Capacity Brain may be used internationally where it is lawfully available and where the transaction is supported by Paddle. We do not guarantee availability in every country. The service may be unavailable in countries or territories that are unsupported by Paddle, subject to sanctions or payment restrictions, or where applicable law prevents lawful sale or use.
11. Consumer rights
Nothing in these Terms limits or excludes rights that cannot lawfully be waived under the law applicable to you. To the extent applicable, this includes consumer protections in the EU and EEA, the United Kingdom, Australia, Canada, the United States and other jurisdictions. Which protections apply depends on your location and status; we do not claim that every listed regime applies to every customer.
12. Professional and business use
Capacity Brain is primarily designed as a professional business-management tool. You remain solely responsible for your own contracts, pricing decisions, tax decisions, employment and contractor relationships, accounting, legal compliance and financial decisions. Recommenda tions and scores in the product are decision support; the decision is always yours.
13. Your data
You retain ownership of the business data you enter into Capacity Brain. You grant us a limited, non-exclusive licence to host, store, process, transmit and display that data, and to create derived calculations from it, solely to provide, secure and support the service. Our handling of personal data is described in the Privacy Policy.
14. Intellectual property
We retain all rights in the Capacity Brain software, user interface, brand, calculation and scoring methods, database structures we create, documentation and website content. You receive a limited, non-exclusive, non-transferable right to use the service within your active subscription.
You must not:
- copy, resell or redistribute the application or unauthorised access to it;
- reverse engineer, decompile or disassemble the software, except to the extent mandatory law expressly permits;
- scrape or bulk-extract product data or content;
- circumvent subscription, entitlement or technical limits.
15. Acceptable use
You must not use Capacity Brain for or in connection with:
- unlawful, fraudulent or deceptive activity;
- unauthorised access to systems, accounts or data;
- malware, probing, penetration attempts or interference with service security;
- impersonation of another person or organisation;
- abuse or harassment of our staff or other users.
16. Availability
We make reasonable efforts to keep the service available and to limit planned downtime, but we cannot guarantee uninterrupted or error-free operation. Maintenance, third-party infrastructure incidents and factors outside our reasonable control may affect availability.
17. Suspension and termination
We may suspend or terminate access where reasonably necessary because of non-payment, security or fraud risk, abuse, a legal obligation, or a material or repeated breach of these Terms. Where practical and lawful we will give notice and an opportunity to resolve the issue first.
When paid access ends, workspace data is retained for a period so you can resubscribe or export it, in line with our retention practices, and is then deleted or anonymised.
18. Limitation of liability
To the fullest extent permitted by law, we exclude implied warranties and are not liable for indirect or consequential loss, loss of profit, revenue, data, goodwill or business opportunity arising from use of the service or reliance on its outputs. Subject to the following paragraph, our total aggregate liability is limited to the subscription fees you paid for the twelve months before the event giving rise to the claim.
Nothing here excludes or limits liability that cannot lawfully be excluded, including liability for fraud, death or personal injury caused by negligence, or mandatory consumer guarantees applicable to you.
19. Indemnity
If you use Capacity Brain for business purposes, you will indemnify us against third-party claims arising from your unlawful use of the service, from data you enter in breach of these Terms, or from your infringement of a third party's rights. This does not apply to consumers where such an indemnity would be unenforceable.
20. Changes to these Terms
We may update these Terms to reflect changes in the service, law or our business. We will publish the updated version on this page with a new date, and for material changes we will give reasonable advance notice by email or in the application. If you do not accept a material change, you may cancel future renewal.
21. Governing law and disputes
These Terms are governed by Romanian law, and the courts of Romania have jurisdiction, except that this does not deprive you of the protection of mandatory rules of law, or of the right to bring proceedings in the courts, of the country where you live where applicable law gives you that right. Nothing in this section requires you to waive non-waivable local rights.
